This Disclaimer pertains to edeXa AG's ("edeXa") Ambassador Program and governs the scope of each Ambassador's authorized activities as well as edeXa's rights and limitations of liability. All participants in the Ambassador Program ("Ambassadors") must carefully review and adhere to this Disclaimer.
1.1 Ambassadors shall not have any authority to bind, represent or create any legal obligations on behalf of edeXa. Ambassadors may not make any commitments, negotiate terms, modify agreements, or otherwise act as an agent for edeXa.
1.2 Ambassadors are prohibited from speaking on edeXa's behalf or holding themselves out as employees, representatives or spokespersons of edeXa without express written permission for each instance.
1.3 Any statements, promises or warranties made by Ambassadors relating to edeXa's products, services or future plans shall be considered non-binding and unauthorized unless expressly contained in official edeXa documentation.
2.1 Ambassadors' participation and activities relating to the edeXa Ambassador Program arise solely from an independent contractor relationship between the Ambassador and edeXa.
2.2 Under no circumstances shall anything in the Ambassador Terms, activities or relationship be construed as creating an employment, agency, partnership, joint venture or other service relationship between Ambassadors and edeXa.
2.3 Ambassadors are not eligible for any edeXa employment benefits and are solely responsible for any tax, employment, or other legal obligations arising from their Ambassador activities.
3.1 The Ambassador relationship is "at-will", meaning edeXa has the right to terminate any Ambassador's participation in the Program at any time, with or without cause or prior notice.
3.2 edeXa's decision to terminate an Ambassador relationship shall be final and binding. Terminated Ambassadors shall have no grounds to challenge or seek any recourse, damages or reinstatement.
3.3 In the event of termination by edeXa, Ambassadors must immediately cease all Ambassador activities and usage of edeXa's brands, materials and intellectual property as detailed in the Ambassador Terms.
4.1 Ambassadors assume all risk arising from or relating to their participation in the edeXa Ambassador Program, including but not limited to legal, financial, reputational and safety risks.
4.2 edeXa makes no representations or warranties regarding compatibility of Ambassador activities with local laws and regulations. Ambassadors are solely responsible for ensuring full compliance.
4.3 Ambassadors conduct Ambassador activities at their own risk and edeXa shall not be liable for any damages, losses, injuries or other issues arising from Ambassador activities.
5.1 Ambassadors agree to fully indemnify, defend and hold edeXa harmless from any claims, liabilities, damages, losses and expenses arising from or relating to their Ambassador activities, including but not limited to:
(a) Failure to comply with the Ambassador Terms, Disclaimer or other Program policies/guidelines
(b) Unlawful, unethical, defamatory or inappropriate promotional activities or contento comply with the Ambassador Terms, Disclaimer or other Program policies/guidelines
(c) Infringement or violation of third party rights, including IP, privacy and publicity rights
(d) Any negligent, reckless or intentional wrongful acts or omissions of the Ambassador
(e) Allegations that an Ambassador made unauthorized representations on behalf of edeXa
(f) Violations of any applicable laws, rules or regulations
5.2 To the maximum extent permitted by law, Ambassadors hereby waive, release and disclaim any and all claims against edeXa, its affiliates and personnel relating to their Ambassador participation.
Although edeXa will endeavor to monitor Ambassador activities, edeXa disclaims any liability relating to inappropriate content from Ambassadors on social media, forums, websites or other spaces. Ambassadors are solely responsible for all content they create or post related to edeXa.
This Disclaimer and the associated Ambassador Program govern only participation as a promotional Ambassador. It does not establish any rights, warranties or legal relationship regarding usage of edeXa's actual products, services, technologies or platforms, which are governed by separate terms and policies.
edeXa reserves the right to modify or replace this Disclaimer, as well as other Program policies/guidelines related to Ambassador activities, at any time by providing notice. All changes shall be effective immediately for each Ambassador's continued participation.
By choosing to participate in the edeXa Ambassador Program, each Ambassador hereby signifies their full acknowledgment and agreement to strictly comply with this Disclaimer in its entirety. Violation of this Disclaimer may result in immediate termination from the Program as well as legal liability for associated claims and damages.
